1. Introduction. The Mobile Workforce Collaborative (the “Collaborative”) is an informal Collaborative of independent and unaffiliated service providers who make their services available to one another and their respective clients. The Collaborative is not a partnership or other entity, nor is it a network of any kind. Participation in the Collaborative is voluntary and may end at any time for any reason or for no reason. The Collaborative is administrated by Mobile Workforce Collaborative Limited (“Administrator”). A participant in the Collaborative is not required to pay any fee of any kind to Administrator or any other participant in order to participate in the Collaborative.

2. Participation. The service provider named below (“Participant”) is entering into this Agreement with Administrator in order to participate in the Collaborative.

3. Professional Practices. During the period of its participation in the Collaborative (the “Term”), Participant will observe the practices shown in the Collaborative’s Statement of Professional Practices found at https://mwc.global/marks/ (the “Collaborative Site”), as they may change from time to time.

4. License to Use Collaborative Marks. Administrator has obtained rights in the trademarks, service marks, logos, commercial symbols, and other Collaborative identifiers (“Collaborative Marks”) found at https://mwc.global/marks (the “Collaborative Marks Page”). Administrator hereby grants Participant a fully paid, royalty free, non-exclusive, limited, revocable, and non-transferable license to use the Collaborative Marks during the Term for the purpose of identifying itself as a participant in the Collaborative, including posting on Participant’s websites and use for marketing purposes. Participant will not make any other use of any Collaborative Mark. Participant will use the Collaborative Marks only as they appear on the Collaborative Marks Page. Participant will not make any use of any Collaborative Mark following the end of the Term or a revocation of this license by Administrator.

5. License to Use Participant Marks. Participant hereby grants Administrator a fully paid, royalty free, non-exclusive, limited, and revocable license to use, during the Term, Participant’s name and any trademarks, service marks, logos, commercial symbols, or other Participant identifiers that Participant provides Administrator (“Participant Marks”) for the purpose of identifying Participant as a participant in the Collaborative, including by posting on the Collaborative Site. Administrator will not make any other use of any Participant Mark and will not make any use of any Participant Mark following the end of the Term or a revocation of this license by Participant.

6. Website Hyperlinks. During the Term, Administrator may hyperlink the Collaborative Site to Participant’s websites, and Participant may hyperlink its websites to the Collaborative Site. If Participant has executed (or executes) a Data Sharing Hub, Ltd. Confidentiality Addendum and Data Processing Addendum, Administrator may hyperlink the Collaborative Site to Participant’s dedicated page in https://dsh.global.

7. This Agreement on the Collaborative Site. Administrator may post a copy of this Agreement, as executed by Administrator and Participant, on the Collaborative Site.

8. Ending Participation. Participant’s participation in the Collaborative may end at any time. Either Participant or Administrator may end the Term by notice to the other, for any reason or no reason.

9. Entire Agreement. This Agreement is the only agreement that governs Participant’s participation in the Collaborative. This Agreement does not modify or limit any agreement between Participant and any other participant in the Collaborative.

10. Effective Date. The effective date of this Agreement is the first day as of which this Agreement is signed by both Administrator and Participant.
